Version Integrity in Board Material Distribution

When board materials change after initial distribution, directors can unknowingly read different figures or recommendations. Version integrity is the ability to identify what was approved, what each recipient received, what changed, and which version informed the decision.

When board materials change after initial distribution, directors can unknowingly read different figures or recommendations. Version integrity is the ability to identify what was approved, what each recipient received, what changed, and which version informed the decision.

Evidence base

GAO internal-control standards address documentation and quality information. NARA provides records-management guidance, and NIST data-integrity material addresses trustworthy recovery and change. Applicability to a specific board depends on law, bylaws, policy, and counsel.

Version model

Assign a packet identifier, version, approval time, content hash or controlled repository event, distribution list, and supersession status. Each late change needs an owner, rationale, affected pages, approval, and notification path.

Recipient view

Test the packet from a director’s access path. A correct master file does not prove that cached downloads, email attachments, or portal links show the same version. Withdraw obsolete files when possible and label archival copies clearly.

Meeting record

The agenda and minutes process should be able to identify the version considered. The executive assistant coordinates distribution evidence; the corporate secretary, counsel, and governance owners determine formal record requirements.

Limitations

Hashes and logs show file identity and events, not whether a director read or understood content. This framework does not set a retention schedule or board procedure. It identifies the operational evidence needed to investigate mismatch.
